Terms of Service

1. Definitions

• "Platform" refers to the Milk Manager 24 web application and all associated pages, APIs, and services.
• "Company" / "We" / "Us" refers to Milk Manager 24, operated by Kansaraix.
• "User" refers to any individual who accesses or uses the Platform, including Shopkeepers, Suppliers, Partners, and Administrators.
• "Shopkeeper" refers to a registered dairy shop owner or manager using the platform to manage their customers, milk records, and billing.
• "Supplier" refers to a milk supplier or dairy vendor who supplies milk to registered shopkeepers.
• "Partner" / "Subadmin" refers to an individual who has enrolled in the Earn Partner Program — they onboard shopkeepers and earn a commission through the platform's wallet system.
• "Admin" refers to the authorized administrators of the Milk Manager 24 platform who manage users, commissions, pricing, and payouts.
• "Content" refers to all data, records, invoices, customer information, and materials entered into or generated by the Platform.

2. Acceptance of Terms

By creating an account or using this Platform, you confirm that:

• You are at least 18 years of age.
• You have the legal authority to enter into a binding agreement.
• You will use the platform only for lawful purposes, in compliance with all applicable laws and regulations in India.
• The information you provide during registration is accurate, current, and complete.

3. Description of Services

Milk Manager 24 provides the following core services:

3.1 Shopkeeper Platform

• Customer Management: Ability to add, edit, and manage end customers, including their milk quantity, rate per litre/kg, and billing cycle.
• Daily Milk Entry: Record daily milk delivery quantities per customer for accurate monthly billing.
• Monthly Invoice Generation: Auto-calculation of monthly milk bills per customer including any dues, advances, and payments received.
• PDF Invoice Generation: Generation of professionally formatted PDF invoices for each customer.
• Bulk Email Invoicing: Ability to send PDF invoices to multiple customers simultaneously via email.
• Payment Tracking: Recording and tracking of cash/UPI payments collected from customers.
• Billing Cycle Management: Support for generating billing cycles and maintaining month-over-month financial history.
• Shop Coupon System: Shopkeepers may receive discount coupons applicable to their subscription plans, issued at the sole discretion of the Admin.

3.2 Supplier Module

• Supplier accounts can be created and linked to shopkeepers on the platform.
• Suppliers can view information relevant to their supply relationship with linked shopkeepers.
• Supplier management features are subject to ongoing development and may be modified.

3.3 Earn Partner Program

• Partner Registration: Free self-registration as a Subadmin/Partner through earn_partner.php.
• Shopkeeper Onboarding: Partners can create new shopkeeper accounts under their account, for which they receive commission.
• Commission Wallet: Partners accumulate earnings in an internal digital wallet as shopkeepers linked to them make billing transactions.
• Withdrawal Request: Partners may request fund withdrawals from their wallet via Bank Transfer (with IFSC) or UPI.
• Commission Rate: Rates are set by the Admin on a per-partner basis and are subject to change. The Company makes no guarantee of any specific commission rate or minimum earning amount.

4. Account Registration & Security

• Each user must register with a unique, valid email address.
• You are solely responsible for maintaining the confidentiality of your password and account credentials.
• You must notify us immediately at support@milkmanager24.com if you suspect unauthorized access to your account.
• The Company shall not be liable for any loss resulting from unauthorized use of your account arising from your failure to secure your credentials.
• Accounts may not be shared, sold, or transferred to another individual without prior written consent from the Company.
• Creating multiple accounts for the same individual or business entity is prohibited without prior authorization.

5. Subscription & Payment

Access to the Shopkeeper Platform's full features is subject to applicable subscription plans:

• A free trial period is offered upon registration. The duration and features of the free trial are defined by the Company and are subject to change.
• After the free trial period, continued access to premium features requires an active subscription.
• Subscription fees and pricing plans are as communicated on the platform or by Admin notification and are subject to change with prior notice.
• All payments made are non-refundable unless specified in our Refund Policy.
• Failure to renew a subscription may result in restricted access to certain features while your data is retained for 180 days.
• Discount coupons issued to shopkeepers are valid for a limited time, are non-transferable, and may be applied only at the time of subscription purchase as indicated in the shop_coupons.php interface.

6. User Responsibilities & Acceptable Use

You agree to use the Platform only for its intended, lawful purposes. The following actions are strictly prohibited:

• Entering false, misleading, or fraudulent data, including fake customer records or payment entries.
• Attempting to gain unauthorized access to other users' accounts or the administrative backend.
• Using the platform to engage in any activity that violates applicable Indian laws, including the IT Act 2000, DPDPA 2023, or GST regulations.
• Uploading malicious code, scripts, or files that could harm the platform or other users.
• Reverse-engineering, decompiling, or copying the software, source code, or any proprietary technology of the Platform.
• Using automated bots, scrapers, or scripts to extract data from the Platform without explicit written consent.
• Sharing obscene, defamatory, or unlawful content through any feature of the Platform.
• For Partners specifically: misrepresenting the platform to potential shopkeepers, making false earning guarantees, or onboarding fictitious shopkeeper accounts.

7. Customer Data & Shopkeeper Responsibility

Shopkeepers who enter third-party customer data (names, mobile numbers, email addresses) into the platform acknowledge the following:

• They have obtained proper consent from their customers to record and store their personal information.
• They are the "data controller" for their customers' data and bear full responsibility for lawful data processing under applicable Indian data protection laws.
• The Company acts only as a "data processor" for end-customer data on behalf of the shopkeeper.
• Email invoices sent to customers are sent on the shopkeeper's instruction and behalf. The Company is not responsible for the content, accuracy, or deliverability of such emails.

8. Partner Program — Additional Terms

• The Partner Program is offered at the sole discretion of the Company and may be modified, suspended, or terminated at any time.
• Commission rates, payment schedules, and wallet features are subject to change with 7 days' notice to active Partners.
• Commission is credited to a Partner's wallet when a linked shopkeeper completes a billing cycle. Adjustments or reversals may occur in case of billing errors or fraudulent activity.
• Withdrawal requests are processed within 72 working hours of Admin approval. Processing times may vary based on banking infrastructure.
• A minimum withdrawal threshold may apply and will be communicated within the platform.
• Partners are independent contractors and not employees or agents of Milk Manager 24 or Kansaraix. No partnership, joint venture, or employment relationship is created.
• Commission income earned through the Partner Program may be subject to applicable Indian income tax laws (including TDS under Section 194H or 194J). Partners are solely responsible for their own tax obligations.
• Partners must provide accurate bank account or UPI details for payouts. The Company is not liable for failed or delayed payouts due to incorrect banking information.

9. Intellectual Property

• All software code, design, branding, logos, and platform features are the exclusive intellectual property of Milk Manager 24 / Kansaraix.
• User-generated content (such as customer data and invoice records) remains owned by the respective shopkeeper/user.
• You grant the Company a limited, non-exclusive license to process and display your content solely for the purpose of delivering the requested services.
• You may not reproduce, modify, distribute, or create derivative works based on our platform or its content without explicit written consent.

10. Service Availability & Modifications

• The Company strives for maximum uptime but does not guarantee uninterrupted, error-free service.
• Scheduled maintenance or unexpected outages may temporarily limit access to the platform.
• The Company reserves the right to modify, update, or discontinue any feature or service with or without notice, though material changes will be communicated to active users.
• We are not liable for any loss arising from service interruptions, technical errors, or platform modifications.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
• The Company's total aggregate liability to you shall not exceed the total subscription fees paid by you in the three (3) months preceding the event giving rise to the claim.
• We are not liable for financial decisions you make based on data generated by the platform, including invoices, payment summaries, or commission records.
• We are not responsible for the actions of third-party service providers such as email delivery services, banks, or UPI processors.

12. Indemnification

You agree to indemnify and hold harmless Milk Manager 24, Kansaraix, their directors, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, unauthorized use of the Platform, or infringement of any third-party rights.

13. Termination

• You may delete your account at any time by contacting support@milkmanager24.com.
• The Company may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for operational or legal reasons.
• Upon termination, access to your account is immediately revoked. Your data is retained for 180 days after which it is permanently deleted, unless you request earlier deletion or retention is required by law.
• Any unpaid Partner wallet balance at the time of termination for cause may be forfeited.

14. Dispute Resolution

• In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at support@milkmanager24.com.
• If the dispute is not resolved within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being in India.
• These Terms shall be governed by the laws of India, and you submit to the jurisdiction of courts in India.

15. Changes to Terms

The Company reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any modification constitutes acceptance of the revised Terms.
